These Terms of Service ("Terms") govern your access to and use of Boatsquare's websites, applications, and services (collectively, the "Services"). Boatsquare provides a platform for yacht sales, charters, and marine services in Indonesia and internationally.

1.1 Acceptance of Terms

By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services.

1.2 Eligibility

You must be at least 18 years old to use our Services. By using our Services, you represent and warrant that you meet this age requirement and have the legal capacity to enter into binding contracts.

1.3 Modifications to Terms

Boatsquare reserves the right to modify these Terms at any time. We will provide notice of material changes through our website or via email. Your continued use of Services after changes constitutes acceptance.

3.1 Account Creation

To access certain Services, you must create an account. You agree to provide accurate, current, and complete information during registration and keep it updated.

3.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. Notify us immediately of any unauthorized use.

3.3 Account Termination

We reserve the right to suspend or terminate accounts that violate these Terms or engage in prohibited activities.

4.1 Listing Accuracy

Yacht owners and sellers are responsible for providing accurate, complete, and up-to-date information about their vessels, including specifications, pricing, availability, and condition.

4.2 Service Categories

Boatsquare offers three primary service categories:

1. Commercial Yachts: Available for charter or sale to registered businesses
2. Private Yachts: Available for charter or sale to individual users
3. Enterprise Yachts: Available for charter or sale to corporate clients

4.3 Verification Process

We conduct verification checks on all listed yachts and users to ensure safety and compliance with maritime regulations.

5.1 Service Fees

Boatsquare charges service fees for facilitating transactions. These fees are:

• Charter Transactions: 15% of total charter value
• Sales Transactions: 5% of final sale price
• Premium Listings: Additional fees may apply for featured placement

5.2 Payment Processing

All payments are processed through secure third-party payment processors. We do not store credit card information on our servers.

5.3 Refund Policy

Refunds are processed according to the following conditions:

6.1 Charter Agreement

Each charter is governed by a separate Charter Agreement between the yacht owner and charterer. Boatsquare facilitates this agreement but is not a party to it.

6.2 Security Deposit

A security deposit is required for all charters, typically ranging from 30-50% of the total charter value. This deposit is refundable within 14 days after charter completion, subject to damage inspection.

6.3 Cancellation Policy

• 60+ days before charter: Full refund
• 30-60 days before charter: 50% refund
• 0-30 days before charter: No refund

6.4 Insurance Requirements

All charter yachts must maintain valid marine insurance. Charterers may be required to purchase additional insurance for high-value charters.

7.1 Sales Process

Yacht sales are conducted through a structured process:

1. Listing verification and valuation
2. Buyer inquiry and inspection
3. Offer and negotiation
4. Sea trial and survey
5. Contract signing
6. Payment processing
7. Title transfer and delivery

7.2 Commission Structure

Sales commission is payable upon successful completion of the sale. Standard commission rates are:

• Commercial yachts: 5% of sale price
• Private yachts: 6% of sale price
• Enterprise yachts: Negotiable

7.3 Title Transfer

Boatsquare assists with documentation but ultimate responsibility for proper title transfer lies with the seller and buyer.

8.1 Disclaimer of Warranties

Services are provided "as is" without warranties of any kind. We do not warrant that services will be uninterrupted or error-free.

8.2 Indemnification

You agree to indemnify and hold harmless Boatsquare, its officers, directors, employees, and agents from any claims arising from your use of Services or violation of these Terms.

8.3 Force Majeure

Neither party shall be liable for failure to perform due to circumstances beyond reasonable control, including natural disasters, war, terrorism, or government restrictions.

9.1 Data Collection

We collect and process personal data in accordance with our Privacy Policy and applicable data protection laws, including Indonesia's data protection regulations.

9.2 Data Usage

Personal data is used to provide Services, process transactions, improve user experience, and comply with legal obligations.

9.3 Data Sharing

We may share data with:

• Yacht owners/charterers for transaction purposes
• Payment processors for transaction completion
• Legal authorities when required by law
• Service providers for platform operation

10.1 Termination Rights

Either party may terminate these Terms at any time by providing written notice. Termination does not affect obligations incurred before termination.

10.2 Suspension Grounds

We may suspend or terminate your access immediately if you:

• Violate these Terms or applicable laws
• Engage in fraudulent activities
• Create risk or legal exposure for Boatsquare
• Fail to pay fees when due

10.3 Post-Termination

Upon termination, your right to use Services ceases immediately. Outstanding payments remain due, and certain provisions survive termination.
